GM (historically ~60% of revenue, now reduced), Stellantis, Ford. Had been
diversifying away from GM concentration. |

DEAL OVERVIEW
American Axle
announced its recommended cash-and-share combination with Dowlais on January
29, 2025, at an implied value of 85.2 pence per Dowlais share (25% premium).
The consideration per Dowlais share comprised: 42 pence in cash, plus up to 2.8
pence additional cash (representing Dowlais's interim dividend), plus 0.0863
new AAM shares. The combined company is headquartered in Detroit, Michigan
under the Dauch brand.
The transaction
received shareholder approval and UK court sanction in July 2025. Closing took
place on February 3, 2026 — slightly later than the originally anticipated
end-of-2025 timeline, due to final regulatory clearances in several
international jurisdictions where Dowlais operates manufacturing facilities.
The combined company operates manufacturing plants across the U.S., UK,
Germany, India, China, and Mexico.
"The combination of AAM and Dowlais creates a world-class,
globally diversified driveline and metal forming supplier with approximately
$12 billion in combined revenues and an extensive, complementary product
portfolio."
— David Dauch,
Chairman & CEO, Dauch Corp.
STRATEGIC RATIONALE
The deal
addresses two structural challenges for AAM: customer concentration
(historically ~60% exposure to GM) and EV transition risk (AAM's core axle
business serves ICE powertrains). GKN Automotive's eDrive systems for electric
vehicles and its global customer base (BMW, Mercedes, Volkswagen, Audi) provide
both EV exposure and customer diversification. GKN Powder Metallurgy further
diversifies into sintered metal components used across ICE, hybrid, and EV
drivetrains.
The $300M synergy
target (to be achieved by end of year three) spans SG&A rationalization,
procurement scale, and manufacturing footprint optimization. Dauch corp expects
to exceed $100M in run-rate savings in the first year alone.
