DEAL OVERVIEW
Capgemini agreed
to acquire 100% of WNS for $76.50 per share in cash — structured as a members'
scheme of arrangement under the Companies (Jersey) Law 1991, given WNS's
incorporation in Jersey. The total consideration of $3.3 billion (excluding
WNS's net financial debt, which was negligible at March 31, 2025) was financed
through a €4.0 billion bond issuance completed on September 18, 2025 — allowing
Capgemini to cancel the bridge loan it had put in place at signing.
The transaction
was approved by WNS shareholders, sanctioned by the Royal Court of Jersey on
October 9, 2025, and closed on October 17, 2025 — exactly 15 weeks after
announcement. WNS shares ceased trading on the NYSE on October 17, and the
company was consolidated into Capgemini's financial statements from that date.
"By combining Capgemini's global reach, strategy and
transformation capabilities, and AI leadership with WNS's industry expertise
and platforms, we are uniquely positioned to help our clients reinvent their
business processes end-to-end."
— Aiman Ezzat,
CEO, Capgemini
STRATEGIC RATIONALE
Business process
services are being fundamentally transformed by agentic AI — systems that
autonomously execute multi-step workflows without human intervention. Capgemini
had invested heavily in Gen AI consulting and technology capabilities but
lacked the deep domain expertise and proprietary BPS platforms that WNS brings.
WNS, in turn, operates non-linear pricing models (outcome-based fees rather
than FTE headcount) that are well-suited to AI-augmented delivery.
The combined
entity's Digital BPS revenues of ~€1.9B make it a top-3 global player in the
segment, competing with Accenture, Genpact, and EXL Service. Capgemini projects
$150-200M in annual synergies from cross-selling, platform rationalization, and
AI productivity gains within three years of close.
