Danaher Acquires Masimo for $9.9B,
Expanding Into Patient-Monitoring and Acute Care
One of the largest medtech buyouts of 2026: Danaher pays a 38%
premium to absorb the pulse oximetry pioneer — and its contested consumer
electronics baggage — accelerating its pivot back to pure-play diagnostics.

THE PARTIES
|
ACQUIRER Danaher Corporation (NYSE:
DHR) Washington
D.C.-based global science and technology innovator with ~$22B in annual
revenues. Operates through three segments: Biotechnology, Life Sciences, and
Diagnostics. Known for its proprietary Danaher Business System (DBS) lean
operating model and a long track record of value-creating acquisitions. |
TARGET Masimo Corporation (Nasdaq:
MASI) Irvine,
CA-based medical technology company, inventor of the modern pulse oximeter
and Signal Extraction Technology (SET). Generates ~$2.2B in annual revenues
from hospital patient-monitoring, non-invasive vital signs measurement, and —
controversially — a consumer health wearables division (Masimo Consumer,
formerly Sound United) acquired in 2022. |
DEAL OVERVIEW
Danaher is paying
$180 per share in cash for all outstanding shares of Masimo — a 38.3% premium
to the stock's last close before announcement. The total enterprise value,
including assumed debt and net of acquired cash, stands at approximately $9.9
billion. Under the merger agreement, a Danaher subsidiary will first launch a
tender offer; once completed, the remaining shares are acquired through a
second-step merger.
The deal brings
Masimo's market-leading pulse oximetry technology into Danaher's Diagnostics
segment, which currently includes Radiometer and Beckman Coulter. Following
completion, Masimo is expected to operate as a standalone business within
Danaher's Diagnostics segment, expanding its portfolio into patient-monitoring
and adjacent acute-care technologies.
"We've followed this innovative company for many years and see it
as an exceptional strategic fit for Danaher."
— Rainer M.
Blair, President & CEO, Danaher
STRATEGIC RATIONALE
Masimo solves a
gap in Danaher's Diagnostics portfolio: the ability to monitor patients
continuously at the bedside, not just in labs. Hospitals increasingly want
end-to-end solutions from a single vendor, and Masimo's non-invasive monitoring
technology is deployed across more than 200 countries. By acquiring Masimo,
Danaher adds a highly recurring, high-margin consumables stream (rainbow
sensors) alongside its existing reagent-based businesses.
Importantly,
Danaher indicated it plans to exit the consumer health business that Masimo's
prior management acquired — removing a persistent valuation discount that had
weighed on Masimo's stock since 2022. Danaher expects the transaction to be
accretive to adjusted earnings in the first full year of ownership and will
realize more than $125 million in annual cost synergies and more than $50
million in annual revenue synergies by year five.
The deal is
valued at approximately 18x estimated 2027 EBITDA, or 15x including full
synergies — broadly in line with premium medtech multiples.
