THE PARTIES

ACQUIRER Embecta Corp. (Nasdaq:
EMBC) Parsippany,
NJ-based global leader in diabetes care technology. Spun off from Becton
Dickinson (BD) in 2022. Manufactures insulin delivery devices including
syringes, pen needles, and safety injection systems. Distributes in more than
100 countries. The acquisition marks Embecta's first significant post-spinoff
M&A move. |
TARGET Owen Mumford Holdings
Limited Oxfordshire,
UK-based privately held medical device innovator founded in 1952. Credited
with the invention of the first plastic autoinjector. Manufactures drug
delivery devices and medical devices for point-of-care testing,
self-injection, and pelvic health applications. Lead product: Aidaptus
next-generation auto-injector (accommodates both 1mL and 2.25mL prefilled
syringes). ~80% of revenue from UK and US. |
DEAL OVERVIEW
Embecta will pay
£100 million in cash at closing (subject to customary net cash adjustments) for
100% of Owen Mumford's equity. The sellers include members of the founding Owen
and Mumford families. In addition, Embecta will pay up to a further £50 million
based on cumulative net sales of the Aidaptus platform over the three-year
period following close — effectively sharing commercial risk on the lead
product with the sellers.
Embecta plans to
fund the closing payment through its revolving credit facility and remains
committed to longer-term deleveraging. The company will discuss the acquisition
on its fiscal Q2 2026 earnings call on May 5, 2026.
"Owen Mumford's innovative drug delivery platforms and strong IP
portfolio are highly complementary to Embecta's product line, and we see
significant opportunities to leverage our global commercial
infrastructure."
— Dev Kurdikar,
President & CEO, Embecta
STRATEGIC RATIONALE
Embecta's
diabetes franchise is large but somewhat commoditized. Owen Mumford's Aidaptus
platform is a genuine differentiator: its universal platform accommodates two
standard prefilled syringe sizes in the same base device — a key advantage for
pharmaceutical partners who want a single autoinjector platform across multiple
drug presentations.
By acquiring Owen
Mumford, Embecta gains IP, manufacturing capabilities, and a customer base
beyond its traditional diabetes end markets — including biologic drug delivery,
point-of-care testing, and pelvic health. The acquisition creates meaningful
opportunities to scale Aidaptus internationally using Embecta's 100-country
distribution network.
