Gilead Acquires Arcellx for $7.8B, Betting Everything on Its CAR-T Pipeline for Multiple Myeloma

THE PARTIES

ACQUIRER

Gilead Sciences (Nasdaq: GILD)

Foster City, CA-based biopharma giant with ~$28B in annual revenues. Known for its transformative HIV franchise (Biktarvy) and cell therapy business Kite Pharma, acquired for $12B in 2017. Under CEO Daniel O'Day, Gilead has been aggressive in business development to diversify beyond HIV and build out its oncology pipeline. Already held ~11.5% of Arcellx prior to this deal.

TARGET

Arcellx Inc. (Nasdaq: ACLX)

Redwood City, CA-based clinical-stage biotech focused on next-generation immunotherapies for cancer. Lead asset: anitocabtagene autoleucel (anito-cel), a BCMA-directed CAR T-cell therapy for relapsed/refractory multiple myeloma being co-developed with Gilead's Kite unit. FDA BLA accepted; PDUFA date December 23, 2026.

DEAL OVERVIEW

Gilead will pay $115 per share in cash — representing a 68% premium to Arcellx's 30-day VWAP as of February 20, 2026, and approximately 79% to the last close. Additionally, each share receives one non-transferable contingent value right (CVR) entitling holders to receive $5 per share if anito-cel achieves cumulative global net sales of at least $6 billion through year-end 2029.

The structure is a two-step transaction: Gilead first launches a public tender offer for all shares it does not already own; upon successful completion (at least a majority of outstanding shares), it completes the acquisition via a second-step merger. Both Gilead's and Arcellx's boards have unanimously approved the transaction.

"We are excited to combine Arcellx's innovative CAR-T platform with Kite's deep cell therapy manufacturing and commercialization expertise."

— Daniel O'Day, Chairman & CEO, Gilead Sciences

STRATEGIC RATIONALE

Gilead and Arcellx have been co-developing anito-cel for multiple myeloma under the Kite partnership since 2021. By acquiring Arcellx outright, Gilead eliminates the profit-share arrangement, all remaining milestones (estimated at up to $1.5B), and future royalties — converting a shared economics model into full ownership of a potentially blockbuster asset.

BMO analyst Evan Seigerman estimates the deal saves Gilead up to $1.5 billion in potential milestone payments alone. Multiple myeloma is one of the most commercially important blood cancers, with few durable treatment options in the relapsed/refractory setting. Anito-cel's Phase I/II iMMagine1 data have been highly competitive, and upon FDA approval (PDUFA December 23, 2026), the therapy is projected to be EPS-accretive beginning in 2028.

This is Gilead's largest deal since its $21 billion acquisition of Immunomedics in 2020, signalling CEO Daniel O'Day's continued commitment to building out Gilead's oncology platform through selective M&A.
