DEAL OVERVIEW
LSI entered into
a definitive agreement on February 20, 2026 to acquire Royston Group from
Industrial Opportunity Partners for $325 million — its largest acquisition ever
by a wide margin. The purchase price breaks down as $320 million in cash and $5
million in LSI common stock (valued at the February 19, 2026 close price). LSI
financed the acquisition through a combination of its expanded senior secured
credit facility (upsized to $425 million, including a five-year term loan and a
larger revolving credit facility) and a $90 million public equity offering
completed March 2, 2026.
The deal closed
in late March 2026 following expiration of the Hart-Scott-Rodino waiting
period. Upon closing, Royston became part of LSI's Display Solutions segment,
complementing LSI's existing retail graphics and display business.
"This acquisition is transformational for LSI, establishing a
scaled, integrated retail branding platform with minimal customer overlap and
compelling cross-selling opportunity."
— James
Galeese, CEO, LSI Industries
FINANCIAL IMPACT
Pro forma
combined revenue stands at approximately $864 million with adjusted EBITDA of
about $95 million (11.0% margin vs LSI standalone 9.7%). The deal is expected
to be accretive to LSI's earnings per share and margin rate upon closing. At
transaction close, LSI expects a net debt / adjusted EBITDA ratio of
approximately 3.0x, with a path to below 2.0x by fiscal year-end 2028.
IOP realizes an
exit after approximately 8 years of hold — generating returns commensurate with
its fund vintage. The deal was acquired by IOP from Stephens Capital Partners
in March 2018.
