THE PARTIES

ACQUIRER Ondas Inc. (Nasdaq: ONDS) West Palm
Beach-based holding company focused on autonomous systems and private
wireless. Operates counter-UAS platforms (Sentrycs), autonomous drones
(Optimus, Iron Drone Raider), and ground robots (Roboteam). 10+ acquisitions
in 24 months. FY2025 revenue ~$50M; 2026 target: $170–180M. |
TARGET / SELLER Mistral Inc. Bethesda,
Maryland-based U.S. defense prime contractor. Decades of experience
supporting U.S. military, federal, and public safety programs. Holds $1B+ in
IDIQ and DoD contract vehicles covering weapon systems, UAS, and
surveillance. U.S.-based manufacturing and integration facilities. |
DEAL OVERVIEW
This deal is
strategically transformative for Ondas. Prior to this acquisition, the company
lacked prime contractor status — meaning it could only access the Pentagon's
procurement system as a subcontractor, limiting both revenue scale and margin.
By merging with Mistral, Ondas immediately steps up into a direct relationship
with the U.S. Army and Special Operations Command (SOCOM).
Mistral is the
tenth defense company Ondas has acquired in two years, but by far the most
consequential. Its existing IDIQ contract base gives Ondas a ready-made
pipeline for its autonomous drone and counter-UAS platforms — technologies in
surging demand amid heightened geopolitical tensions globally.
"Mistral brings decades of trusted performance supporting U.S.
defense and public safety customers, along with a highly experienced team that
has repeatedly demonstrated its ability to introduce advanced technologies into
operational programs."
— Eric Brock,
Chairman & CEO, Ondas
DEAL STRUCTURE & PAYMENT TERMS
The $175 million
consideration is paid entirely in Ondas common stock. Of this, $122.5 million
worth of shares will be issued at or shortly after closing — with $17.5 million
deposited into escrow. The remaining $52.5 million is held in escrow and released
in three tranches over three years post-closing (50% / 25% / 25%). This
staggered structure protects Ondas against integration risk while giving the
Banai family full economic exposure to Ondas equity upside.
MARKET CONTEXT
Ondas stock had risen over 1,100% in the prior year before the Mistral announcement, driven by investor enthusiasm for its autonomous defense portfolio. The stock initially declined ~5% on deal announcement — reflecting dilution concerns from the all-stock structure — before recovering as analysts modeled the strategic uplift.
