THE PARTIES

ACQUIRER

Quantum Computing Inc. (Nasdaq: QUBT)

Hoboken, NJ-based quantum optics and integrated photonics company. Specializes in thin-film lithium niobate (TFLN) chip fabrication. Products span HPC, AI acceleration, cybersecurity, and remote sensing. Aggressively acquiring to build a vertically integrated quantum platform.

TARGET / SELLER

NuCrypt LLC

Illinois-based quantum communications pioneer founded in 2003. Member of the Chicago Quantum Exchange; past collaborator with Fermilab, Argonne National Lab, and Northwestern University. Clients include NASA and the U.S. Army Research Laboratory. Patent portfolio covers quantum optics, RF-photonics, and photonic signal processing.

DEAL OVERVIEW

At $5 million, this is what bankers call a "tuck-in" — a small acquisition priced not for revenue but for technology and relationships. NuCrypt brings over two decades of quantum communications expertise, a validated IP portfolio, and a roster of government customers that QCi could not easily replicate organically.

The deal fits cleanly into QCi's 2026 roadmap. The company closed its $110 million acquisition of Luminar Semiconductor in February, adding photonic chip manufacturing depth. NuCrypt extends the platform specifically into quantum networking and secure communications — a vertical drawing significant government and enterprise interest as post-quantum encryption timelines accelerate.

"After more than 20 years as a highly specialized, independent quantum communications company, growing commercial interest and opportunities in the field suggest that now is the time to expand our footprint."

— Gregory Kanter, Managing Partner, NuCrypt

TECHNOLOGY SYNERGIES

The core integration thesis: QCi's thin-film lithium niobate (TFLN) chip platform can significantly miniaturize NuCrypt's quantum communications hardware, reducing device footprint and enabling scalable, high-volume manufacturing of quantum networking components. This is the difference between bespoke lab-grade systems and commercially deployable products.
