InvestIndustrial Closes $2.9B Take-Private of TreeHouse Foods, the Leading U.S. Private-Label Snack Maker

The Milan-headquartered European investment group takes America's largest private-label food manufacturer private in an all-cash deal — betting that out of the public eye, TreeHouse can execute a restructuring and profitability improvement program that quarterly earnings pressure has made impossible.

ACQUIRER

Investindustrial (via Industrial F&B Investments III)

Milan-based European group of independently managed investment, holding, and advisory companies. Founded by Andrea Bonomi. Fund VIII (Investindustrial VIII SCSp) leads the acquisition via a dedicated subsidiary. Investindustrial has a track record of acquiring and transforming mature consumer and industrial companies in both Europe and North America, including prior investments in Aston Martin, Caprabo, and Technogym.

TARGET

TreeHouse Foods, Inc. (NYSE: THS)

Oak Brook, IL-based North American manufacturer of private-label and branded food and beverage products. CEO Steve Oakland. ~$3.5B in annual revenues. Operates ~26 production facilities in the U.S. and Canada. Key categories: snacking (crackers, cookies, pretzels), condiments, beverages. Long-standing supplier to major retailers including Walmart, Costco, and Kroger. Had faced investor dissatisfaction over margins and growth trajectory since its 2021-2022 restructuring.

DEAL OVERVIEW

Investindustrial agreed to acquire all outstanding shares of TreeHouse Foods for $22.50 per share in cash plus one non-transferable Contingent Value Right (CVR) per share — entitling holders to a portion of any net proceeds from specified pending litigation against Keurig Dr Pepper. The total enterprise value of $2.9 billion includes the assumption of TreeHouse's existing debt.

To fund the acquisition, Investindustrial placed a $1.0 billion senior secured term loan, a $400 million asset-backed revolving credit facility, and $800 million of 7.750% senior secured notes due 2033. RBC Capital Markets, Deutsche Bank, and KKR Capital Markets acted as co-underwriters for the debt financing. Following close on February 11, 2026, TreeHouse Foods was delisted from the NYSE and became a wholly owned subsidiary of Investindustrial.

"TreeHouse is a North American food leader with outstanding brands, a deeply loyal retailer customer base, and significant value creation potential that we are excited to pursue as a private company."

— Investindustrial

STRATEGIC RATIONALE

Private-label food manufacturing is experiencing a structural renaissance: consumers increasingly prefer store-brand products on cost grounds, and major retailers are investing in their private-label programs as margin-accretive alternatives to branded SKUs. TreeHouse — as the largest dedicated private-label manufacturer in North America — sits at the center of this trend.

The take-private rationale is classic: TreeHouse's transformation plan (reducing complexity, closing underperforming plants, improving gross margins) requires multi-year investments that public market investors have been unwilling to fund given near-term earnings pressure. In private hands, Investindustrial can pursue the restructuring over a 4-6 year horizon without quarterly earnings scrutiny — a playbook the firm has successfully executed in European consumer businesses.
