Trian and General Catalyst's $7.4B Take-Private of Janus Henderson: A Bidding War in the Making

A rare activist-to-acquirer story: Nelson Peltz's Trian teams up with VC-turned-PE firm General Catalyst to take the $350B AUM manager private — only to face a competing all-cash-and-stock bid from Victory Capital that continues to escalate into late March 2026.

THE PARTIES

ACQUIRER

Trian Fund Management + General Catalyst

Nelson Peltz's Trian (active JHG shareholder since 2019, holding ~20.7% at vote record date) partnered with General Catalyst — traditionally a venture firm now pivoting to large-scale private equity. Combined, they offer $49/share in cash in a new acquisition vehicle with no prior operating experience in asset management.

TARGET

Janus Henderson Group plc (NYSE: JHG)

London-headquartered global active asset manager with ~$379B AUM. Created through the 2017 merger of Janus Capital and Henderson Group. Has suffered years of net outflows from active equity strategies but recently stabilized. CEO Ali Dibadj (since 2022) has been restructuring the business around its strongest investment franchises.

DEAL OVERVIEW

The Trian/General Catalyst deal, agreed in December 2025, values Janus Henderson at approximately $49 per share — a meaningful premium to where the stock had been trading. However, the deal immediately attracted scrutiny: Victory Capital Holdings (Nasdaq: VCTR), the $327B AUM San Antonio-based asset manager, submitted an unsolicited bid as early as November 2025 and repeatedly escalated its offer through March 2026.

Victory's most recent revised proposal values Janus Henderson at approximately $57.04 per share ($40 in cash plus 0.250x VCTR shares per JHG share), implying an enterprise value of ~$8.6 billion — a 16% premium to the Trian deal on Victory's own calculation. Janus Henderson's board has unanimously rejected Victory's proposal on grounds of execution risk and required JHG shareholder approval approaching 90% (given Trian's 20.7% blocking stake).

Victory withdrew its proposal on March 24, 2026, ending the bidding war. The Trian/General Catalyst transaction remains on track for shareholder approval at the April 16, 2026 meeting, with JHG board recommending shareholders vote in favour.

"This transaction represents the most certain and value-maximizing path for Janus Henderson shareholders, with significantly less execution risk than any alternative."
