Abbott Closes $23B Acquisition of Exact Sciences, Entering the $60B Cancer Screening Market

The Abbott-Exact Sciences combination is the largest diagnostics deal ever: by acquiring Cologuard — the world's leading at-home colorectal cancer screening test — and Cancerguard's multi-cancer early detection blood test, Abbott adds a $3B-plus revenue vertical with high-teens organic growth, vaulting its total diagnostics sales above $12B annually.

THE PARTIES

ACQUIRER

Abbott Laboratories (NYSE: ABT)

North Chicago, IL-based global healthcare company. CEO Robert Ford. FY2025 revenues ~$22B across four segments: MedTech, Diagnostics, Nutrition, and Established Pharmaceuticals. Abbott has described its strategy as a pivot toward "personalized and preventative healthcare." To fund the $23B enterprise value, Abbott executed a $20B senior notes offering in early March 2026 — one of the largest debt capital market transactions in healthcare history.

TARGET

Exact Sciences Corporation (Nasdaq: EXAS)

Madison, WI-based precision oncology company. CEO Kevin Conroy (remains in advisory role post-close). FY2025 revenues ~$3B. Core products: Cologuard (stool DNA test for colorectal cancer screening — FDA approved, #1 non-invasive CRC screening in the U.S.); Oncotype DX (gene expression tests for breast and prostate cancer treatment decisions); Cancerguard (a multi-cancer early detection blood test). ~7,000 employees.

DEAL OVERVIEW & FINANCING

Abbott agreed to acquire all outstanding shares of Exact Sciences at $105.00 per share in cash on November 19, 2025 — a 14% premium to Exact Sciences' closing price the prior day. The total equity value of approximately $21 billion, combined with the assumption of approximately $1.8 billion in net debt, produces an enterprise value of approximately $23 billion.

The transaction closed on March 23, 2026, after receiving all required regulatory clearances (the last clearance was received on March 19, 2026) and shareholder approval (67.56% of eligible shares voted in favor). To finance the acquisition, Abbott completed a landmark $20 billion senior notes offering in early March — absorbing the debt into an investment-grade capital structure supported by Abbott's ~$22B revenue base.

Exact Sciences will maintain its headquarters in Madison, Wisconsin. CEO Kevin Conroy transitions to an advisory role to support integration and accelerate global impact.

"Exact Sciences' innovation, its strong brand and customer-focused execution are unrivalled in the cancer diagnostics space. Together we will enter and lead in one of the fastest-growing segments in healthcare."

— Robert Ford, Chairman & CEO, Abbott

THE $60 BILLION PRIZE: CANCER SCREENING AND PRECISION ONCOLOGY

The U.S. cancer screening and precision oncology diagnostics market is estimated at $60 billion — large, underpenetrated, and growing at double-digit rates driven by aging demographics, expanding screening guidelines, and rising public awareness of early detection's survival benefits. Cologuard alone achieved more than $2.5 billion in U.S. revenues in 2025, growing at high-teens rates. Cancerguard, Exact Sciences' blood-based multi-cancer early detection test, targets a market segment that currently does not exist at commercial scale — and that Abbott believes will expand to tens of millions of annual tests within a decade.

Abbott brings to the combination: a global commercial infrastructure (160+ countries), regulatory expertise across multiple healthcare segments, and diagnostic laboratory relationships spanning clinical chemistry, immunoassay, and molecular diagnostics. Exact Sciences brings brand recognition, established payer coverage (Cologuard is covered by Medicare and most commercial insurers), and a growing clinical evidence base. Abbott projects approximately $100 million in annual synergies post-integration.
