Allegiant to Acquire Sun Country Airlines for $1.5B — Two Leisure-Focused Carriers Create a National Ultra-Low-Cost Force

A rare airline merger with virtually zero route overlap: Las Vegas-based Allegiant combines with Minneapolis-based Sun Country in a cash-and-stock deal that creates a 195-aircraft, 175-city leisure travel platform — with $140M in annual synergies and essentially no antitrust risk, because the carriers fly almost entirely different routes.

THE PARTIES

ACQUIRER

Allegiant Travel Company (Nasdaq: ALGT)

Las Vegas, NV-based ultra-low-cost carrier. CEO Gregory C. Anderson (leads combined company). Chairman Maury Gallagher (leads combined board). Focuses on point-to-point leisure routes connecting small- and medium-sized U.S. cities to vacation destinations (Las Vegas, Orlando, Phoenix, Myrtle Beach). Fleet: ~100 Airbus A320-family aircraft. Known for an asset-light, high-ancillary-revenue model. Allegiant shareholders will own approximately 67% of the combined company.

TARGET

Sun Country Airlines Holdings (Nasdaq: SNCY)

Minneapolis-based leisure-focused low-cost carrier. CEO Jude Bricker (to serve as advisor post-close; two Sun Country board members join Allegiant board). Fleet: ~45 Boeing 737 aircraft. Focuses on leisure travel from Minneapolis-St. Paul and select secondary U.S. cities. Also operates a significant charter and cargo business. Sun Country survived two bankruptcies (1992 and 2001) before re-emerging as a lean leisure carrier. Operated at ~$1.1B in fully diluted equity value pre-deal. Sun Country shareholders own approximately 33% of combined company.

DEAL OVERVIEW

Allegiant agreed to acquire Sun Country in a cash-and-stock transaction at $18.89 per Sun Country share — comprising $4.10 in cash and 0.1557 shares of Allegiant common stock. The per-share value represents a 19.8% premium to Sun Country's January 9, 2026 closing price of $15.77. The total transaction value is approximately $1.5 billion, inclusive of $400 million in Sun Country's net debt.

The deal was unanimously approved by both boards and was structured without a voting trust. Special stockholder meetings are scheduled for May 8, 2026. Closing is expected in the second half of 2026 pending regulatory and shareholder approvals. Allegiant CEO Greg Anderson noted that the two carriers' route networks have "basically zero overlap" — a major advantage in any antitrust review. The combined airline will operate under the Allegiant name, headquartered in Las Vegas.

"This combination positions us as a powerful competitor in leisure travel. Both airlines share the same core philosophy — serving underserved communities with direct, affordable leisure routes — and together we can offer those communities more options and better frequency."

— Gregory C. Anderson, CEO, Allegiant

THE $140M SYNERGY OPPORTUNITY

Allegiant projects $140 million in annual run-rate synergies within three years of close, driven by: network expansion (Sun Country's Minneapolis hub gives Allegiant a strong Midwest base), fleet optimization (rationalizing Boeing 737 and Airbus A320 fleets to common types over time), joint purchasing (fuel hedging, maintenance contracts, catering), and revenue synergies from codeshare and loyalty program integration. The deal is expected to be accretive to EPS in the first year after closing.
