ALLETE, Inc. (NYSE: ALE)

Duluth, MN-based diversified energy company founded in 1906 as Minnesota Power. CEO Beth Straka. Operates three business segments: Minnesota Power (regulated electric utility serving 145,000+ customers in northeastern Minnesota); ALLETE Clean Energy (distributed renewable wind energy); and BNI Energy (coal mining for a regulated utility client). ~$1.8B in annual revenues. Committed to a "Sustainability in Action" strategy targeting a carbon-free energy supply by 2050.

DEAL OVERVIEW & REGULATORY JOURNEY

CPP Investments and GIP announced their $67/share all-cash acquisition of ALLETE on May 6, 2024. While ALLETE's shareholders approved the merger promptly (July 2024 shareholder meeting), the transaction's defining challenge was obtaining approval from the Minnesota Public Utilities Commission (MPUC) — a notoriously deliberate state regulator with broad authority over utility ownership changes.

The MPUC's primary concern was whether a pension fund and infrastructure PE firm could commit to the long-term investment needs of ALLETE's customers and communities. CPP Investments and GIP addressed this directly: they agreed to provide approximately $200 million in customer and community benefits, including a one-year base rate freeze, $50 million in rate credits, and additional support for energy affordability and grid modernization. The MPUC voted unanimously in favor of approval on October 3, 2025 — the last required regulatory clearance — and the transaction closed on December 15, 2025.

"We are proud of our leadership role in developing and supplying clean, sustainable energy in Minnesota. This partnership with CPP Investments and GIP gives ALLETE the long-term capital and patient ownership to accelerate that mission."

— Beth Straka, CEO, ALLETE

STRATEGIC RATIONALE

For CPP Investments and GIP, ALLETE represents a core infrastructure asset with defensible regulated utility cash flows (Minnesota Power), a growing renewable energy platform (ALLETE Clean Energy), and a clean balance sheet. Regulated U.S. utilities are among the most prized assets for pension and infrastructure funds: they offer predictable, inflation-linked returns, essential service moat, and significant capital investment pipelines under the IRA's clean energy incentive framework.

The "Sustainability in Action" strategy — ALLETE's commitment to transitioning Minnesota Power to 70% renewable energy by 2030 and carbon-free by 2050 — requires $3-4B of capital investment over the next decade. Private ownership eliminates the quarterly earnings pressure that can constrain utilities' ability to make long-horizon infrastructure investments.
