Google's $32B Wiz Acquisition Nears Close — Alphabet's Largest Deal Ever Creates a Cloud Security Giant

After a failed first attempt (Wiz rejected Google's initial $23B offer in 2024), Alphabet returns with an all-cash $32B offer that Wiz accepts — creating the largest cybersecurity acquisition in history. With DoJ clearance in hand and remaining regulatory approvals progressing, the deal is expected to close in 2026, joining Wiz to Google Cloud's security stack ahead of the generative AI era.

THE PARTIES

ACQUIRER

Google LLC / Alphabet Inc. (Nasdaq: GOOGL)

Mountain View, CA-based global technology company. CEO Sundar Pichai. FY2025 revenues ~$370B. Google Cloud revenues ~$50B (2025), growing 28%+ YoY. Cybersecurity is the fastest-growing market for Google Cloud and the highest-priority acquisition opportunity given: (1) the explosion of generative AI workloads on cloud infrastructure, which dramatically expands the attack surface enterprises must protect; (2) competitive pressure from Microsoft (Defender ecosystem) and AWS in cloud-native security. The $32B deal is by far Alphabet's largest acquisition ever, more than 4x its previous largest (Motorola Mobility, $12.5B, 2012).

TARGET

Wiz, Inc.

New York / Tel Aviv-based cloud security platform. CEO Assaf Rappaport. Founded in 2020 by former Microsoft Azure engineering leaders. ARR grew from $0 to ~$700M in approximately 4 years — one of the fastest-growing SaaS businesses in history. Core product: an agentless cloud security platform that scans cloud infrastructure (AWS, Azure, GCP, OCI) for misconfigurations, vulnerabilities, sensitive data exposure, and lateral movement risk — without requiring agents installed on individual workloads. Already profitable at operational level. Rejected Google's initial $23B offer in 2024 to pursue standalone IPO; ultimately accepted $32B in March 2025.

DEAL OVERVIEW

Google and Wiz announced a definitive acquisition agreement in March 2025 at $32 billion in cash — making it the largest cloud security acquisition ever and the largest in Alphabet's history. The $32B price tag includes a breakup fee exceeding $3.2 billion payable by Google if the deal does not close for regulatory reasons — one of the largest such fees in technology M&A history, reflecting Wiz's leverage as the seller.

The U.S. Department of Justice cleared the transaction without conditions in March 2025. Remaining international regulatory approvals are progressing across multiple jurisdictions (EU, UK, Israel, and others), with closing expected in 2026. Wiz will become part of Google Cloud upon closing, with the Wiz team expected to remain intact and the platform continuing to be sold to customers running on any cloud — not just Google Cloud.

"Wiz has built a remarkable business in a remarkably short time. Joining forces with Google Cloud gives us the resources and global reach to accelerate our mission of making cloud security simple, comprehensive, and accessible to every organization in the world."

— Assaf Rappaport, CEO, Wiz

WHY GOOGLE PAID $32B — THE CLOUD SECURITY IMPERATIVE

Generative AI has fundamentally changed the cloud security threat landscape. AI workloads create new attack surfaces: model weights are valuable intellectual property; AI training pipelines expose sensitive data; AI inference endpoints are internet-facing and must be hardened. Enterprises building AI on cloud infrastructure are spending dramatically more on cloud security — and Microsoft's Azure ecosystem (with the Defender suite) has a structural advantage that Google Cloud lacks.

Wiz's agentless architecture — which connects to cloud control plane APIs rather than installing software agents — solves a critical adoption barrier: enterprises can deploy Wiz across their entire cloud estate in hours rather than months, with no infrastructure changes required. Wiz's "security graph" (which maps relationships between cloud resources, identities, data, and external exposure) is the most comprehensive real-time risk visualization in cloud security. For Google Cloud, owning Wiz creates a security stack that is native to the cloud paradigm rather than adapted from on-premise legacy tools.

ADVISORS

No financial advisors were publicly disclosed for either Google or Wiz in connection with the $32B acquisition agreement. Both companies are understood to have managed the transaction primarily through internal corporate development and legal teams, with external legal counsel for regulatory filings and deal documentation.
