THE PARTIES

ACQUIRER / LEAD INVESTOR

QHP Capital, L.P. (GP) + HarbourVest Partners (lead LP)

QHP Capital is a Research Triangle Park, NC-based PE firm investing in life sciences and pharma services companies, rooted in the legacy of Quintiles (now IQVIA) and NovaQuest Capital Management. Jeff Edwards (Partner) led the transaction. HarbourVest Partners (Boston) is one of the world's largest fund-of-funds and secondary investors, with $100B+ in AUM — acting as lead investor and primary new LP in the continuation vehicle.

PORTFOLIO COMPANY

Azurity Pharmaceuticals, Inc.

Woburn, MA-based specialty pharmaceutical company focused on delivering medicines to overlooked and underserved patients. CEO Ronald Scarboro. 50+ medicines across 10 dosage forms and 10 therapeutic areas. Global footprint in 50+ countries. QHP has owned Azurity for 6+ years, during which the company has grown substantially through organic growth and acquisitions including Covis Pharma (acquired March 2025). The CV provides acquisition capital for Azurity's next M&A phase.

WHAT IS A CONTINUATION VEHICLE?

A GP-led continuation vehicle (CV) — also called a GP-led secondary — is a mechanism that allows a private equity firm to hold a portfolio company beyond the typical fund lifecycle, providing existing LPs with a choice: (1) sell their stakes at the CV's implied valuation and realize returns now, or (2) roll into the new vehicle and maintain exposure to the company's future growth. New investors (HarbourVest, Pantheon, Audax) provide the capital to buy out the exiting LPs while QHP remains in control.

QHP's Azurity CV is structured as a single-asset vehicle — meaning the $1.1B is entirely committed to Azurity rather than a diversified portfolio. HarbourVest led the transaction; Pantheon participated as a significant LP; Audax Strategic Capital contributed both as a CV syndicate investor and through a separate structured growth investment that provides additional acquisition capital. The transaction was disclosed on March 18, 2026, although it closed on February 13.

"This CV reflects our strong conviction in Azurity's strategy and leadership. The capital supports Azurity's continued organic growth, business development, and potential strategic M&A."

— Jeff Edwards, Partner, QHP Capital

STRATEGIC CONTEXT

GP-led continuation vehicles have become one of the most active segments of the private equity secondaries market in 2024-2026, as GPs seek to hold quality assets through their full value creation arc rather than selling prematurely to hit fund return timelines. For Azurity specifically, the CV structure provides acquisition firepower for continued consolidation in the specialty pharma market — where Azurity has identified additional bolt-on targets in its therapeutic areas of focus.

Audax Strategic Capital's separate structured growth investment alongside the CV is notable: it represents an additional capital layer specifically earmarked for M&A, not just liquidity, giving Azurity a well-capitalized war chest as it enters what QHP describes as "the next phase of growth."
