ACQUIRER Contemporary Amperex
Technology Co., Ltd. (CATL) (SZ: 300750) Ningde,
Fujian-based global battery manufacturer. CEO Zeng Yuqun (Robin). The world's
largest manufacturer of lithium-ion batteries for electric vehicles and
energy storage. FY2025 revenues approximately ¥360 billion. CATL supplies
batteries to Tesla, BMW, Volkswagen, Ford, and virtually every major global
automaker. In 2026, CATL is aggressively diversifying beyond pure battery
manufacturing into: (1) energy storage systems for grid and data centers; (2)
battery recycling and materials; (3) strategic technology investments across
the electrification value chain. The Zhonhen deal is the most significant
single strategic investment CATL has made outside its core battery
manufacturing business. |
TARGET / INVESTEE Hangzhou Zhonhen Technology
Investment (and listed subsidiary Zhongheng Electric) Hangzhou-based
holding company for Zhongheng Electric Co. Ltd — a Shenzhen Stock
Exchange-listed provider of power electronics and power informatization
solutions. Founded 1993. Core products: HVDC (high-voltage direct current)
power systems for AI data centers (AIDC); DC power supply series; Panama
power systems. Key clients: Alibaba, Tencent, and China's major cloud and
data center operators. CATL's investment gives it a 49% stake in Zhonhen
Technology Investment (the parent), which holds a 35.6% stake in listed
Zhongheng Electric — making CATL an indirect 17.4% shareholder of the listed
company, its second-largest shareholder. Controlling shareholders Zhu Guoding
and wife retain 51% of Zhonhen Technology Investment post-deal. |
DEAL OVERVIEW
CATL signed a
framework agreement to invest ¥4.09 billion ($599.5 million) in Hangzhou
Zhonhen Technology Investment on April 9, 2026, acquiring a 49% equity stake in
the parent company of Shenzhen-listed Zhongheng Electric. The investment is
structured as a capital increase: CATL will contribute approximately ¥2.9
billion in cash and a 99.7% stake in its subsidiary Times Tianyuan Technology
(a leading supplier of lithium battery assembly equipment and power conversion
systems), valued at approximately ¥1.2 billion. Upon completion, CATL nominates
one director and a deputy general manager to Zhonhen Technology Investment's
governance.
Through Zhonhen
Technology Investment's existing 35.6% stake in listed Zhongheng Electric, CATL
will indirectly become a 17.4% shareholder of Zhongheng Electric — making it
the company's second-largest shareholder. Shares of Zhongheng Electric surged
to their daily trading limit (+10%) on the announcement. The deal has not yet
received full regulatory approval; the framework agreement requires further
definitive documentation.
"This investment reflects our conviction that sophisticated
energy infrastructure is foundational to the next generation of AI computing.
CATL's technology in energy storage, combined with Zhongheng's expertise in DC
power delivery, creates a uniquely powerful combination for the AI data center
era."

WHY AI DATA CENTERS ARE CATL'S NEXT
FRONTIER
Nvidia CEO Jensen
Huang has repeatedly argued for a fundamental shift in data center electrical
architecture: from alternating current (AC) distribution to direct current (DC)
distribution. The reason is energy efficiency: as rack power densities rise from
10 kilowatts per rack in traditional deployments to potentially 1 megawatt per
rack in next-generation AI systems, the conversion losses associated with
AC-to-DC conversion at each rack become a dominant cost and efficiency factor.
HVDC power systems — which Zhongheng Electric specializes in — eliminate these
conversion losses by delivering DC power directly from the grid connection
point to the racks, potentially improving overall data center energy efficiency
by 5-10%.
For CATL,
Zhongheng Electric's client list (Alibaba, Tencent, and China's largest data
center operators) represents access to the fastest-growing electricity
consumption market in the world. China's data center power consumption is
projected to triple by 2030, creating massive demand for efficient power
delivery systems that complement CATL's battery energy storage systems for data
center backup and grid stabilization.
