CleanPeak Energy Acquires Sustainable Energy Infrastructure for A$500M — Adding 71 MWac Solar and 42 MW Battery Storage Across Australia

KKR-backed CleanPeak Energy Holdings — Australia's leading distributed clean energy platform — completes the acquisition of Sustainable Energy Infrastructure (SEI), expanding its operational portfolio by 27 sites: 71 megawatts of solar capacity across 16 sites and 42 megawatts of battery energy storage systems (BESS) across 11 sites in New South Wales, Victoria, and South Australia, in one of Australia's largest distributed energy transactions of 2026.

THE PARTIES

ACQUIRER

CleanPeak Energy Holdings (CPEH)

Sydney-based distributed clean energy developer and operator. Co-founders: Philip Graham and Jon Hare. Backed by KKR, which committed A$500 million in strategic investment in July 2025 as part of its climate infrastructure strategy. CleanPeak operates a portfolio of distributed solar and battery storage assets — typically sub-5MW projects — serving commercial and industrial customers across Australia's National Electricity Market (NEM). The company's strategy focuses on "in-front-of-the-meter" generation (grid-connected assets), enabling it to supply power both to contracted C&I customers and directly to the grid. Prior to the SEI acquisition, CleanPeak operated approximately 50 distributed generation sites. In January 2026, CleanPeak had already acquired 5 solar and BESS development sites in NSW from Fortitude Renewables, demonstrating its aggressive M&A cadence since the KKR capital raise.

TARGET

Sustainable Energy Infrastructure (SEI)

Australian distributed solar and battery energy storage operator. SEI specialises in sub-5MW solar and BESS projects — the segment of the Australian renewable energy market serving commercial rooftop and ground-mount installations that are too small for utility-scale developers but too large for typical rooftop solar installers. SEI's portfolio of 16 solar sites (71 MWac) and 11 BESS sites (42 MW) is spread across three Australian states — NSW, Victoria, and South Australia — providing CleanPeak with geographic diversification across the three most commercially active NEM regions. The portfolio has a replacement value estimated at nearly A$200 million, implying a significant premium in the acquisition price reflecting strategic scarcity value. All assets are operational and revenue-generating at the time of acquisition.

DEAL OVERVIEW

CleanPeak Energy Holdings completed the acquisition of Sustainable Energy Infrastructure on April 15, 2026, adding 27 operational distributed energy sites to its existing portfolio. The transaction is funded from the A$500 million strategic investment KKR committed to CleanPeak in July 2025. SEI's 71 MWac of solar capacity and 42 MW of BESS is distributed across three Australian states — NSW, Victoria, and South Australia — consistent with CleanPeak's strategy of building a geographically diversified, NEM-wide portfolio.

The SEI acquisition is important for CleanPeak's stated growth priority of expanding its "in-front-of-the-meter" generation capabilities. In-front-of-the-meter assets — which feed power to the grid or to grid-connected buyers — are more complex to develop and operate than behind-the-meter rooftop solar, but generate higher and more predictable revenue streams. SEI's proven portfolio of operational assets provides CleanPeak with immediate cash-flow contribution and a platform for further expansion in each of the three target states.

"The acquisition of SEI marks an important step in CleanPeak's growth strategy and strengthens our ability to deliver more affordable and reliable energy solutions across Australia's National Electricity Market."

— Philip Graham, Co-Founder, CleanPeak Energy Holdings

AUSTRALIA'S DISTRIBUTED ENERGY MARKET

Australia has one of the highest rates of rooftop solar penetration in the world, with solar panels on approximately 30% of Australian homes. This has created a unique grid dynamic: midday solar surpluses drive wholesale electricity prices near zero or negative during the day, while evening peak prices spike dramatically as solar generation drops. Distributed BESS assets — which charge during low-price periods and discharge during high-price periods — are ideally positioned to capture this spread. CleanPeak's combined solar-plus-storage portfolio is designed to operate as an integrated energy arbitrage and retail supply platform.
