ACQUIRER

Covivio Hotels SACA (subsidiary of Covivio SA)

Covivio Hotels is the hotel real estate subsidiary of Covivio SA (Euronext Paris: COV), a pan-European real estate investment company with a €23.7 billion asset portfolio spanning offices, residential, and hotels across France, Italy, Germany, and other European markets. Covivio Hotels has been aggressively expanding its Italian hospitality exposure since 2024, targeting Milan specifically as a high-growth hotel market driven by both business travel (Milan is Europe's leading fashion and trade fair city) and leisure tourism. Covivio Hotels co-invests with partners on hotel acquisitions, with its group share of the Milan transaction being €115 million out of the total €217 million. Covivio has additionally launched five office-to-hotel conversion projects in Paris, Boulogne-Billancourt, and Bologna (€211M CAPEX) for completion in 2028-2029, targeting over 6% yield.

SELLER / OPERATOR

Invest Hospitality (New York) / Partner in Transaction

Invest Hospitality: New York City-based hotel investment and operations company. Invest Hospitality is the seller of the four-hotel portfolio and the operator post-sale — retaining operational control of all four properties under 21-year fixed-term sale-and-leaseback leases with Covivio Hotels. The guaranteed rent structure (6% yield for Covivio, approximately 7% including variable rent) provides Covivio with predictable income while giving Invest Hospitality the capital from the sale to redeploy into new hotel opportunities. The four hotels are located across Milan's most commercially active districts: Scalo Farini (north, regeneration area), Bicocca (north, technology/university hub), Corso Buenos Aires (central shopping corridor), and Piazzale Loreto (northeastern transport hub). All four properties have been fully renovated recently. Total approximately 900 keys. All properties are pre-committed to achieve LEED Gold or BREEAM In-Use Very Good sustainability certifications.

DEAL OVERVIEW

Covivio Hotels completed the acquisition of a portfolio of four four-star hotels in Milan from Invest Hospitality for €217 million ($255.8 million) on April 15, 2026. The transaction is structured as a sale-and-leaseback: Invest Hospitality sells the freehold of the four properties to Covivio Hotels while simultaneously entering into 21-year fixed-term leases — retaining operational management of all four hotels. Covivio's group share of the €217 million total is €115 million, with the balance co-invested by partners (consistent with Covivio's typical hotel investment syndication model). The four hotels provide approximately 900 rooms across four strategic Milan micromarkets.

The deal provides Covivio with a 6% guaranteed rent yield (based on fixed lease payments) plus an additional variable rent component targeting an overall 7% total yield on the acquisition price. This risk-adjusted return profile — guaranteed income from a creditworthy long-term operator, exposure to Milan's hotel revenue growth via the variable component — is the core value proposition of Covivio's sale-and-leaseback hotel strategy. Milan's hotel market has demonstrated robust performance across both the business (Goldman Sachs, BCG, Bain all maintain major Milan offices) and leisure (Italy's fashion weeks, Expo legacy, Lake Como tourism) segments.

"This acquisition strengthens Covivio's presence in Milan, a market supported by robust demand in both the business and leisure segments, where we already benefit from a strong office footprint — thus completing our development across Europe."

— Covivio spokesperson, April 2026

MILAN AS A EUROPEAN HOTEL INVESTMENT MARKET

Milan has become one of Europe's most sought-after hotel investment markets following the post-COVID travel recovery. Italy received approximately 450 million tourist arrivals in 2025, and Milan specifically benefits from its dual role as: (1) Italy's primary business and finance hub (headquarters of Italy's largest banks, law firms, fashion conglomerates, and FMCG companies); (2) a leading global leisure and cultural destination (fashion weeks, design fairs, and proximity to Lake Como, the Dolomites, and the Italian Lakes). Four-star hotels — positioned between budget accommodations and luxury brands — capture the largest single segment of this demand. Covivio's existing strong office portfolio in Milan (it is one of the city's largest commercial real estate owners) creates natural synergies: corporate clients of Covivio's offices become a captive demand pool for Covivio Hotels' properties.
