Gilead Agrees to Acquire Ouro Medicines for Up to $2.175B, Betting on a T Cell "Immune Reset" for Autoimmune Disease

Gilead's second billion-dollar immunology bet in a single month: after closing the $7.8B Arcellx acquisition for leukemia cell therapy, Foster City's antiviral giant agrees to pay $1.675B upfront for a Swiss-founded startup that has developed a first-in-class T cell engager antibody for autoimmune blood disorders — sharing the cost 50/50 with Belgian partner Galapagos NV.

THE PARTIES

ACQUIRER

Gilead Sciences, Inc. (Nasdaq: GILD)

Foster City, CA-based global biopharmaceutical company. CEO Daniel O'Day. FY2025 revenues ~$28B, primarily driven by HIV treatments (Biktarvy, Descovy, Sunlenca) and Veklury (remdesivir). Gilead has been aggressively rebalancing its portfolio from pure virology toward oncology and immunology — spending ~$7.8B on Arcellx (CLL cell therapy) earlier in March and now $1.675B+ on Ouro. The company is in advanced discussions with Belgian biotech partner Galapagos NV (in which Gilead already holds a significant stake) to share costs equally.

TARGET

Ouro Medicines

Privately held biotechnology company. Lead asset: OM336 — an investigational BCMAxCD3 bispecific T cell engager (TCE) antibody for autoimmune diseases, specifically targeting conditions driven by pathogenic autoantibodies (abnormal B cells/plasma cells that produce antibodies attacking the body's own tissues). OM336 has received FDA Orphan Drug Designation and Fast Track Designation for certain autoimmune diseases. Expected to enter registrational studies in 2027. Backed by undisclosed venture investors.

DEAL OVERVIEW & THE GALAPAGOS CO-INVESTMENT

Gilead agreed to acquire all outstanding equity of Ouro Medicines for $1.675 billion in upfront cash at closing, plus up to $500 million in contingent milestone payments. In an unusual and strategically elegant financing structure, Gilead is simultaneously pursuing an agreement with Galapagos NV under which Galapagos would pay 50% of the upfront consideration and 50% of any milestone payments — effectively reducing Gilead's net outlay to approximately $838 million upfront.

Under the proposed Gilead-Galapagos collaboration, Galapagos would absorb substantially all of Ouro's operating assets and retain its employees. Galapagos would assume responsibility for developing OM336 through the start of registrational studies capable of supporting regulatory submissions; late-stage clinical development costs beyond that point would be split equally between the partners. This structure repositions Galapagos — which had undergone significant restructuring — with a meaningful clinical-stage program and a clear development role.

"OM336 represents a potential first-in-class approach to achieving an immune reset in patients suffering from debilitating autoimmune diseases. This acquisition deepens our immunology pipeline and reflects our confidence in T cell engager technology as a platform for treating serious disease."

— Daniel O'Day, Chairman & CEO, Gilead Sciences

THE SCIENCE: WHY T CELL ENGAGERS FOR AUTOIMMUNE DISEASE

Autoimmune cytopenias and other autoantibody-driven diseases — conditions where the immune system attacks the body's own blood cells or tissues — have been treated for decades with blunt immunosuppressants (steroids, rituximab). T cell engagers like OM336 represent a fundamentally different approach: they recruit cytotoxic T cells (the immune system's precision killers) to eliminate the specific B cells and plasma cells producing the pathogenic autoantibodies, without broadly suppressing immunity. This could enable a durable "immune reset" — remission without indefinite immunosuppression.

The T cell engager modality has already revolutionized blood cancer (blinatumomab for ALL, elranatamab for myeloma). Its application to autoimmune disease is in early stages, but the mechanistic logic is compelling. OM336's Fast Track and Orphan Drug designations indicate the FDA views the asset as addressing a serious unmet need.
