DEAL OVERVIEW

Jacobs announced the full takeover on January 5, 2026, at an upfront consideration of £1.216 billion — paid 80% in cash and 20% in Jacobs shares. An additional £75 million in deferred consideration is payable on the two-year anniversary, in Jacobs shares, cash, or a combination at Jacobs' election. The implied 100% enterprise value of PA Consulting of approximately £3.05 billion ($4.0 billion) represents 13.0x expected 2025 adjusted EBITDA — a premium valuation reflecting PA's growing AI and digital transformation revenues and government/defense sector exposure.

The transaction was overwhelmingly approved by PA employees and shareholders (>97% of voting shareholders, representing >99% of share value, voted in favour) and satisfied all closing conditions by March 20, 2026. Jacobs publicly announced completion on March 23. To fund the cash component, Jacobs issued $1.3 billion in senior notes in early 2026.

"Full ownership of PA Consulting enables us to strengthen our position as a comprehensive partner delivering integrated advisory and technology-enabled solutions at global scale. Clients increasingly seek fewer interfaces and greater accountability as they navigate large, complex initiatives."

— Bob Pragada, Chair & CEO, Jacobs Solutions

STRATEGIC RATIONALE: BUILDING THE FULL ADVISORY-TO-DELIVERY STACK

Jacobs' core business — infrastructure engineering, program management, and technical delivery — is being disrupted by client demand for integrated advisors who can take a project from strategic conception through to physical completion without handoffs. PA Consulting provides exactly the missing front-end: strategy, digital innovation, AI and data, change management, and government advisory. Combined with Jacobs' 60,000+ engineers and technical professionals, the entity can now compete directly with consulting giants like Accenture, McKinsey, and Booz Allen Hamilton for the most complex government and commercial programs.

The advisory margin uplift is material: advisory work (PA Consulting's specialty) commands significantly higher operating margins than pure engineering delivery. Full ownership adds approximately 60 basis points to Jacobs' adjusted operating margin based on FY2025 results — expanding the margin profile toward the mid-teens territory that characterizes leading consulting firms.
