Krispy Kreme Completes WKS Refranchising Transaction, Executing Its Balance Sheet Deleveraging Plan

The Charlotte-based doughnut company completes a significant refranchising transaction with its long-standing Western U.S. joint venture partner WKS Restaurant Group — a deal designed to reduce company-owned operational exposure, generate cash for debt repayment, and accelerate the hub-and-spoke expansion model that Krispy Kreme calls the cornerstone of its turnaround.

ACQUIRER

Krispy Kreme, Inc. (Nasdaq: DNUT)

Charlotte, NC-based global doughnut and sweet treats company. CEO Josh Charlesworth. ~$1.7B in annual revenues. Operates an asset-light "hub-and-spoke" model: centralized production hubs (doughnut factories) supply "spoke" distribution points (grocery stores, convenience stores, McDonald's locations). Has been executing a turnaround plan focused on balance sheet deleveraging, refranchising company-operated markets, and scaling the hub-and-spoke model globally.

TARGET

WKS Restaurant Group

Phoenix, AZ-based multi-brand restaurant franchisee operating across the Western United States. Existing joint venture partner with Krispy Kreme for its Western U.S. operations. WKS operates one of the largest Krispy Kreme franchise networks in the country, with experience managing both doughnut production hubs and distribution spoke networks. Increasing its stake in the JV as part of Krispy Kreme's broader move to reduce company-owned operational footprint.

DEAL OVERVIEW

On March 23, 2026, Krispy Kreme completed a transaction with WKS Restaurant Group in which WKS increased its ownership stake in the Western U.S. joint venture and expanded its operational footprint within that market. The financial terms of the transaction were not disclosed. The completion was announced as part of Krispy Kreme's "continued progress on its turnaround plan to deleverage the balance sheet and drive sustainable, profitable growth through refranchising."

This refranchising move is one component of a broader strategic program. Krispy Kreme's turnaround playbook has three pillars: (1) exit or refranchise company-operated markets to reduce capital intensity and generate cash; (2) accelerate hub-and-spoke expansion, where third-party retailers and foodservice operators carry Krispy Kreme product with minimal incremental capex; and (3) use proceeds to repay debt and improve the balance sheet.

"Refranchising is a key component of our turnaround plan. By partnering with experienced operators like WKS in markets where they have deep local expertise, we can grow the brand while improving our financial flexibility."

— Josh Charlesworth, President & CEO, Krispy Kreme

CONTEXT: KRISPY KREME'S TURNAROUND

Krispy Kreme went public via IPO in July 2021 at $17 per share but its stock has underperformed significantly, trading well below IPO price through 2025 as investors grew skeptical of the hub-and-spoke expansion's financial returns. The company carries significant debt from its pre-IPO leveraged buyout by JAB Holding Company, which complicates its ability to invest in growth. The refranchising program is designed to address this structural issue by generating cash through market exits while preserving brand exposure through franchise economics.
