DEAL OVERVIEW

Banco Santander agreed to acquire all outstanding shares of Webster Financial for $75.00 per share — comprising $48.75 in cash and 2.0548 Santander American Depositary Shares. Based on Santander's closing share price on February 2, 2026, the all-in value was approximately $75.59 per share, representing a 16% premium to Webster's 10-day VWAP and a 9% premium to Webster's all-time high closing share price. The implied equity value is approximately $12.2 billion ($12.3 billion based on different reference dates).

Post-close, Webster will become a wholly-owned subsidiary of Santander, merging into Santander Bank N.A. Webster CEO John Ciulla will lead the combined Santander Bank N.A. as CEO, with existing senior Webster executives remaining based in Stamford — designated as a "key U.S. corporate location" under the deal terms. The combined U.S. platform will have approximately $327B in assets, $185B in loans, and $172B in deposits, positioning it among the top 10 U.S. banks by assets.

"This transaction creates a more competitive bank with greater scale and resources to serve our customers and communities. Together with Santander, we will be better positioned to deliver exceptional service and innovative solutions to individuals, families, and businesses across the Northeast and beyond."

— John R. Ciulla, CEO, Webster Financial

THE WEBSTER HSA BANK ADVANTAGE

HSA Bank — Webster's health savings account subsidiary — is one of the most strategically valuable assets in the deal. With 4.7 million HSA accounts and growing deposits, HSA Bank provides Santander with a large, sticky, and fee-generating deposit franchise that does not appear on most investors' radar. Health savings accounts carry no interest rate sensitivity on the deposit side (employers contribute fixed annual amounts) and generate durable fee income. For Santander, integrating HSA Bank's national reach into its retail banking platform dramatically diversifies its U.S. deposit base beyond the Northeast geography.
