DEAL OVERVIEW
Shield AI closed
the $1.5 billion Series G equity round co-led by Advent International and
JPMorganChase on April 2, 2026, simultaneously with a $500 million non-dilutive
preferred equity financing from Blackstone. The combined $2 billion capital
raise more than doubles Shield AI's valuation from approximately $5.6 billion
(prior round, late 2025) to $12.7 billion — a nearly 6x increase in three
years. The equity round represents first-time institutional backing from two of
the most prominent names in global finance, signaling a decisive mainstreaming
of defense AI venture investment.
The Blackstone
preferred equity facility is structured as non-dilutive — it does not create
new equity dilution for existing shareholders — and is earmarked for two
specific uses: funding the acquisition of Aechelon Technology (a San
Diego-based company specializing in high-fidelity tactical training
simulations) and scaling V-BAT and X-BAT production capacity. The Aechelon
acquisition is pending regulatory review. The equity round capital will be used
to scale Hivemind Enterprise (the developer platform for defense prime
integrations), accelerate the X-BAT combat drone program toward its inaugural
flight, and expand international government sales.
"Global conflicts are awakening governments and investors to the
importance of modernizing military forces. We don't expect growth to slow
down."
— Brandon
Tseng, Co-Founder & President, Shield AI
THE HIVEMIND ADVANTAGE: FLYING BLIND,
WINNING SMART
Hivemind is
Shield AI's core intellectual property — an AI system trained to pilot aircraft
(and eventually other military platforms) autonomously in environments where
traditional computer-aided systems fail. Standard military autonomous systems
rely on GPS for positioning, continuous communications links for command, and
favorable electromagnetic environments. DDIL environments — the actual
conditions of modern high-intensity conflict — feature GPS jamming,
communications blackouts, and electronic warfare. Hivemind is specifically
engineered for these conditions, using edge AI inference to make autonomous
mission decisions in real time with no external connectivity.
The Pentagon has
committed $9.4 billion in FY2026 investment for autonomous drone systems, with
Shield AI positioned at the intersection of the two highest-priority
categories: long-endurance surveillance (V-BAT) and AI-enabled collaborative
combat aircraft (the X-BAT and Hivemind's Collaborative Combat Aircraft program
integration). With more than half of 2026 revenue expected from international
customers — NATO allies rapidly increasing defense AI procurement — Shield AI's
growth is diversified across a growing set of well-capitalized government
buyers.
