TARGET / STAKE SELLER

Sichuan Railway Construction Company (stake from Sichuan Railway Group)

Sichuan Railway Construction Company is a subsidiary involved in railway civil engineering construction across Sichuan and broader southwest China. Sichuan Railway Group — the related-party seller — is the parent organization of Sichuan Road & Bridge, creating a classic Chinese SOE related-party transaction where assets are restructured between companies within the same state-controlled enterprise group. The acquisition of a stake in the Railway Construction subsidiary follows SRBG's prior 2021 acquisition of 51% stakes in Sichuan Railway Construction Company, Hangyan Company, and Zhenjing Company — continuing a multi-year consolidation of railway and civil engineering assets under the listed SRBG vehicle.

DEAL OVERVIEW & SOE CONTEXT

Sichuan Road & Bridge Group completed the acquisition of a stake in Sichuan Railway Construction Company from related party Sichuan Railway Group on March 31, 2026. The transaction, valued at approximately $20 million, represents a continuation of SRBG's long-term strategy of consolidating railway and specialty civil engineering capabilities under the listed company entity — aligned with the Sichuan provincial government's strategy of creating a single, comprehensive, publicly accountable infrastructure champion from the various state-owned construction entities operating in the province.

The deal is structured as a related-party transaction — common in Chinese state enterprise governance — where assets are transferred between entities within the same government-controlled holding structure. SRBG's expansion into railway construction complements its dominant position in highway and bridge engineering, enabling the company to offer clients in China and internationally a complete civil infrastructure capability spanning all major transport modes. SRBG's international portfolio (Turkey, Norway, and projects across Africa, Southeast Asia, and Latin America under the Belt and Road Initiative) creates additional demand for integrated railway and road construction capabilities that this acquisition strengthens.

SRBG'S INTERNATIONAL INFRASTRUCTURE PORTFOLIO

Sichuan Road & Bridge Group has evolved from a regional Sichuan construction company into one of China's most internationally active infrastructure contractors, with projects in 20+ countries. Most notably, SRBG led construction of the 1915 Canakkale Bridge in Turkey — the world's longest suspension bridge with a main span of 2,023 meters — completed in 2022. The company holds controlling stakes in mining assets in Eritrea (Asmara copper-gold mine) and is pursuing a 50% stake in the Colluli potash deposit in Eritrea through a $950 million development program. The railway construction capability adds a new line of service for SRBG's international project pipeline.
