THE PARTIES

ACQUIRER / LEAD INVESTOR

TPG Inc. (Nasdaq: TPG) — via TPG Capital

San Francisco and Fort Worth, TX-based global alternative asset management firm. $261B AUM. TPG Capital is its U.S. and European private equity platform. CEO Jon Winkelried. Known for tech-focused growth buyouts; prior industrial software investments include Irth Solutions (energy/infrastructure software) and Altimetrik (IT services). The Proficy acquisition fits TPG's well-developed pattern of carving out non-core software businesses from large industrials and building them as standalone platforms.

SELLER

GE Vernova Inc. (NYSE: GEV) — Proficy Software

Cambridge, MA-based energy technology company spun off from General Electric in 2023. CEO Scott Strazik. ~85,000 employees across Power, Wind, and Electrification segments. The Proficy software platform (HMI/SCADA, MES, industrial historians, analytics) was retained by GE Vernova from the original GE industrial empire. Represents ~20% of Electrification Software revenues. GE Vernova is refocusing entirely on GridOS (its grid orchestration AI platform) and clean energy hardware.

DEAL OVERVIEW

GE Vernova and TPG Capital announced their binding agreement on September 11, 2025, at a purchase price of $600 million in cash. GE Vernova may receive additional proceeds depending on future performance outcomes and conditions. The transaction required regulatory consultations with employee representatives across Proficy's global workforce (Europe) and other customary closing conditions. It closed on March 2, 2026 — approximately 6 months after announcement, at the low end of the guided H1 2026 timeline.

Upon closing, TPG assumed full ownership and control of Proficy. GE Vernova retained a board observer seat — a standard structure in carve-outs where the seller wishes to maintain visibility without operational control. Proficy now operates as an independent software business with its own leadership team, targeted growth plan, and TPG's operational and capital resources behind it.

"Manufacturing is undergoing a renaissance driven by the need to increase throughput and augment workforces. Proficy's mission-critical, increasingly AI-enabled solutions are leading the way. We are excited to partner with GE Vernova and Proficy's leadership to accelerate growth."

— TPG Capital
