ACQUIRER (INTERMEDIARY) Interros Holding Company Moscow-based
diversified investment holding company controlled by Vladimir Potanin
(Russia's richest person). Interros is the largest non-controlling
shareholder in T-Technologies (T-Bank's parent) — a position established
through the 2024 integration of Rosbank into TKS Holding, which gave Interros
approximately 41.4% of T-Technologies' shares. Interros has been a Tochka
shareholder since 2023, when it led a consortium that acquired 90.01% of
Tochka from Trust Bank for ₽41.5 billion — one of the largest Russian banking
asset sales of that year. Interros operates through Catalytic People (the
joint venture with T-Technologies that holds 64% of Tochka), and its April 16
acquisition of VK's 25% stake will be transferred to T-Technologies as part
of the phased consolidation process. Interros General Director: Sergei
Batekhin. |
SELLER VK (formerly Mail.Ru Group)
/ Target: JSC Tochka VK (MOEX:
VKCO): Russia's largest social media and internet company, operating
VKontakte, Odnoklassniki, and a suite of B2B services for SMEs. VK acquired
25% of Tochka in Q4 2023 for ₽11.6 billion (approximately $127M at
then-prevailing rates) — establishing a strategic partnership to integrate
financial tools into its SME customer ecosystem. Over the holding period, VK
received ₽4.3 billion in dividend income from Tochka. VK is exiting at a
price of no less than ₽21.2 billion — nearly double its purchase price — plus
the dividends received, representing a strong financial return. JSC Tochka:
Russia's leading digital banking service for entrepreneurs and SMEs (small
and medium-sized businesses). Operates under its own universal banking
license. Shareholders prior to transaction: Catalytic People (JV of
T-Technologies + Interros, 64%); VK (25%); 1C (Russian accounting software
company). After this transaction, Interros/T-Technologies effective control
will increase substantially. |
DEAL OVERVIEW
Interros Holding
Company completed the acquisition of VK's 25% stake in JSC Tochka on April 16,
2026, for no less than ₽21.2 billion (approximately $277.9 million). Interros
confirmed it will subsequently transfer this stake to T-Technologies as part of
the phased consolidation of Tochka under the T-Technologies umbrella. The
transaction is described by T-Technologies as one stage in a multi-step process
to consolidate up to 100% of Tochka's shares, which is expected to conclude in
autumn 2026 following additional corporate procedures including the
determination of parameters for a T-Technologies additional share issue through
closed subscription.
The consolidation
of Tochka into T-Technologies (formerly TKS Holding, parent of Russia's T-Bank)
is strategically motivated by T-Technologies' ambition to strengthen its
position in the B2B segment. Tochka is Russia's most technologically advanced
digital bank specifically serving entrepreneurs and SMEs — a market segment
that T-Bank has not historically served as its primary focus (T-Bank is
primarily a consumer credit and retail banking platform). Tochka will continue
to operate under its own banking license and independent brand, with Tochka CEO
Andrei Zavadskikh retaining operational management. T-Technologies plans a
shareholders' meeting for June 5, 2026 to approve the additional share issue
that will constitute the final closing of the full consolidation.
"T-Technologies plans to consolidate up to 100% of Tochka, one of
the largest digital banks for entrepreneurs in Russia, in order to strengthen
the group's position in the B2B segment. Today's event is one of the stages of
the transaction to consolidate Tochka Bank."

TOCHKA'S ORIGINS AND RUSSIA'S SME BANKING
MARKET
Tochka was
founded in 2018 as a joint venture between Otkritie Bank, Qiwi, and Tochka's
management team, specifically designed to serve Russia's 6 million+ small and
medium-sized businesses — a segment historically underserved by Russia's large
state-owned banks. The bank achieved profitability relatively quickly,
generating net profit of ₽6.2 billion in 2022 (2.2x growth YoY) — attracting
Trust Bank's decision to sell its 90% stake at auction in 2023 for ₽41.5
billion, nearly double its book value. Since acquisition by the Interros-led
consortium, Tochka has continued to grow its SME customer base and product
portfolio, making it one of Russia's most valuable private fintech assets.
